Vibes AI, Inc., a Delaware corporation ("Vibes AI," "we," "us," or "our"), offers MANTRA. MANTRA is an artificial intelligence model and related experience for voice journaling, cognitive wellness, brain readiness, and restorative audio. You can access MANTRA through the Vibes AI mobile application, AI-native devices that integrate MANTRA, Vibes AI websites (including getvibes.ai), application programming interfaces (APIs), and related online services (together, the "Services").

These Terms and Conditions ("Terms") govern your access to and use of the Services.

1. Acceptance of these Terms
By accessing, downloading, installing, registering for, calling, or using the Services (including by making API calls or using an AI-native device that integrates MANTRA), you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

Section 20 (Dispute Resolution; Binding Arbitration; Class Action Waiver) contains a binding individual arbitration provision and class-action waiver applicable to US users. Read it carefully. You may opt out of arbitration as described in that section within 30 days after first accepting these Terms.

2. Eligibility
You must be at least 18 years old to use the Services, unless Vibes AI expressly provides a separate experience for younger users with legally appropriate parental or guardian consent and safeguards. By using the Services, you represent that you meet the age requirement, have the legal capacity to agree to these Terms, and are not barred from using the Services under applicable law or sanctions. The Services are not directed to children under 13.

3. Accounts and Security
Some features require an account. You agree to provide accurate, current, and complete information when creating an account and to keep it updated. You are responsible for keeping your account credentials confidential and for all activity under your account. Notify Vibes AI promptly at security@getvibes.ai if you suspect unauthorized access.

Vibes AI may refuse, suspend, or terminate accounts where we reasonably believe there is fraud, misuse, legal risk, security risk, violation of these Terms, or harm to Vibes AI, users, partners, or third parties.

4. Description of the Services
MANTRA is an AI model that powers wellness, cognitive wellness, voice biomarker, restorative audio, voice journaling, brain readiness, resilience, personalization, research, and related experiences. You can access MANTRA through:

the Vibes AI mobile application;
AI-native devices that integrate MANTRA (whether sold by Vibes AI or by a partner under a Vibes AI license);
Vibes AI websites, including getvibes.ai;
the MANTRA API and SDKs; and
third-party applications and devices that integrate MANTRA under a written agreement with Vibes AI.

Features may include AI-generated insights, voice analysis, speech prompts, conversational agents, integrations with Apple Health, Samsung Health, Health Connect, wearables, and other third-party APIs, device-based personalization, trend tracking, recommendations, and beta or experimental features.

Vibes AI may add, modify, limit, suspend, or discontinue any feature or any part of the Services at any time, with or without notice, to the extent permitted by law. Some features are offered as beta, preview, research, early access, or experimental features and may be incomplete, inaccurate, unavailable, or changed without notice.

5. No Medical Advice
The Services are provided for wellness, education, self-reflection, cognitive wellness awareness, and informational purposes only. The Services do not provide medical advice, diagnosis, treatment, cure, prevention, or clinical decision-making. The Services are not a medical device, unless Vibes AI expressly states otherwise and meets applicable regulatory requirements.

Do not use the Services as a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a physician or other qualified health professional with any questions you may have about a medical condition, symptom, medication, treatment, diagnosis, or health decision. Do not disregard, avoid, or delay professional medical advice because of information from the Services.

6. No Emergency or Crisis Use
The Services are not designed for emergencies or crises. If you believe you may have a medical emergency, call 911 (in the United States) or your local emergency number immediately, or go to the nearest emergency room. If you are experiencing a mental health crisis, suicidal thoughts, thoughts of self-harm, or risk of harm to yourself or others, contact 988 (in the United States), your local crisis hotline, or emergency services immediately. Do not use the Services as a substitute for emergency services, a crisis hotline, or a qualified health professional.

7. AI Output Limitations
MANTRA generates scores, trends, recommendations, summaries, classifications, predictions, journal reflections, and other outputs using artificial intelligence, machine learning, signal processing, statistical models, and rules-based systems. Outputs may be incomplete, inaccurate, biased, delayed, unavailable, or inappropriate for your particular circumstances. You are solely responsible for evaluating outputs and deciding how to use them.

Vibes AI does not guarantee that any score, insight, recommendation, trend, alert, or other output will detect, predict, prevent, diagnose, treat, or cure any disease, condition, impairment, cognitive change, or health outcome. Vibes AI may update or change algorithms, scoring methodologies, thresholds, models, datasets, and outputs over time. Historical outputs may not be reproducible.

You agree not to rely on the Services or any AI output to make medical, emergency, employment, insurance, credit, housing, legal, immigration, education, or other decisions with legal or similarly significant effects, without appropriate professional review and any required legal authority.

8. Permission-Based Features
Some features require permissions, including microphone, location, camera, Bluetooth, notifications, SMS, contacts, calendar, Apple Health, Samsung Health, Health Connect, wearable, AI-native device, or other third-party permissions. You are not required to grant any permission. Denying or revoking a permission may limit functionality or prevent certain features from working.

By enabling a feature or permission, you authorize Vibes AI to access and process the relevant information as described in the Privacy Policy and any feature-specific notice. You represent that you have the right to provide any information, content, or permissions you submit or enable, including for any data about another person.

9. User Content and License Grant
"User Content" means any content you submit, upload, record, speak, write, share, transmit, or otherwise provide through the Services, including voice recordings, voice journal entries, transcripts, comments, feedback, survey responses, images, files, messages, profile information, and inputs sent through the API.

You retain all rights you have in your User Content. You grant Vibes AI a worldwide, non-exclusive, transferable, sublicensable (through multiple tiers), royalty-free, fully paid-up license to host, store, reproduce, process, analyze, modify, adapt, translate, create derivative works from, display, perform, distribute, transmit, and otherwise use your User Content to operate, provide, improve, secure, research, develop, train and evaluate models for, and commercialize the Services and Vibes AI products and services, subject to the Privacy Policy and applicable law.

You also grant Vibes AI the unrestricted right to create, use, retain, license, and commercialize de-identified, aggregated, pseudonymized, statistical, derived, modeled, benchmark, and research outputs, datasets, model weights, feature embeddings, insights, and analytics from your User Content and other information collected through the Services. To the maximum extent permitted by law, Vibes AI exclusively owns those outputs and may use them for any lawful business purpose, including research, product development, model development, commercialization, licensing, partnerships, publications, and new products, provided that Vibes AI does not disclose your raw sensitive personal data in a manner that identifies you, except as expressly permitted by the Privacy Policy or with your consent.

You represent and warrant that your User Content does not violate applicable law, infringe third-party rights, contain unlawful or harmful material, or include information about any person other than yourself that you do not have lawful authority and consent to provide.

Vibes AI may, but is not required to, review, monitor, screen, edit, remove, refuse, or restrict User Content at any time, with or without notice, where Vibes AI reasonably believes that User Content violates these Terms, applicable law, third-party rights, or platform rules, or otherwise poses risk to Vibes AI, users, or third parties.

10. Voice Contributions and Research
If you contribute voice recordings, spoken prompts, voice journal entries, research responses, or other contributions, you grant Vibes AI the rights described in Section 9 and the Privacy Policy. Vibes AI may use your contributions to provide the Services, improve the MANTRA AI model, train and evaluate models, conduct research, develop new Vibes AI products, and create de-identified, aggregated, pseudonymized, statistical, derived, modeled, benchmark, and research outputs.

Vibes AI does not sell raw voice recordings. Vibes AI does not use voice data for identity verification or biometric identification, unless Vibes AI expressly states otherwise and obtains any legally required notice and consent. If a specific research, voice-contribution, or model-development program has additional terms or consent forms, those additional terms also apply. If those program-specific terms conflict with these Terms with respect to that program, the program-specific terms govern.

11. AI-Native Devices and Third-Party Hardware
If you use an AI-native device that integrates MANTRA, your use of that device may be governed by additional device terms, firmware terms, and the device maker's privacy notice. Vibes AI is responsible for the MANTRA AI model and the Vibes AI services it provides. The device maker is responsible for the hardware and any features it controls.

Some MANTRA features may require an active connection between the AI-native device and Vibes AI servers. Vibes AI may push updates to the MANTRA model or the device's MANTRA integration to add features, improve safety, fix bugs, or comply with law.

12. API Access; Developer and Business Use
If Vibes AI offers an API, SDK, or developer program for MANTRA, your access is subject to these Terms and to any separate API Agreement, Acceptable Use Policy, Data Processing Addendum, and rate-limit or service-tier documentation that Vibes AI publishes (collectively, the "API Terms"). If you access MANTRA on behalf of an organization, you represent that you are authorized to bind that organization.

You agree to the following API rules:

keep API credentials, keys, and tokens confidential and secure. You are responsible for all activity under your credentials;
use the API only for the use cases and within the rate limits, quotas, and service tiers that Vibes AI publishes or grants you in writing;
do not exceed published rate limits, conduct denial-of-service-style request patterns, or otherwise impair the stability or security of the API;
do not use automated tools, scripts, scrapers, or bots to extract content, outputs, model weights, embeddings, training data, or other materials, except as expressly permitted in the API Terms;
do not reverse engineer, decompile, disassemble, attempt to derive source code from, or extract or distill the MANTRA AI model or any other Vibes AI model, except to the extent applicable law expressly permits and cannot be waived;
do not use API outputs to train, develop, or improve a competing AI model, foundation model, product, or service, or to create benchmarks designed to disadvantage Vibes AI, except with prior written permission;
do not use the API to make medical, emergency, employment, insurance, credit, housing, legal, immigration, or education decisions, or other decisions with legal or similarly significant effects, without appropriate professional review and any required legal authority;
comply with Vibes AI safety and abuse-prevention requirements, including logging, monitoring, and incident-reporting obligations published from time to time;
provide end users of your application with a privacy notice and any consents required by applicable law before sending their data to the MANTRA API;
do not present MANTRA outputs to end users as human-generated work without proper attribution, and do not present outputs as a Vibes AI medical determination; and
do not introduce malware, ransomware, or other harmful code into the API or any Vibes AI system.

Vibes AI may modify, suspend, throttle, or terminate API access, credentials, or service tiers at any time. We may suspend or terminate API access immediately where we reasonably believe there is a violation of the API Terms, a security or legal risk, abuse or misuse, or harm to users or third parties.

Beta and experimental APIs. Some API features may be offered as beta, preview, early access, or experimental. They are provided "as is" and "as available" and may be modified or discontinued at any time. Do not rely on beta APIs for production, safety-critical, or high-impact use.

13. Feedback
If you provide ideas, suggestions, requests, bug reports, concepts, designs, mock-ups, or other feedback regarding the Services, you grant Vibes AI an unrestricted, perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable license to use, reproduce, modify, and exploit the feedback for any purpose, without compensation or other obligation to you.

14. Acceptable Use and Prohibited Uses
When using the Services (on any access channel, including the mobile app, AI-native devices, websites, and APIs), you must comply with these Terms, applicable law, and the universal usage standards below. You agree not to do, or attempt to do, any of the following:

use the Services for unlawful, harmful, fraudulent, deceptive, abusive, harassing, discriminatory, defamatory, or exploitative purposes;
use the Services or any output to make medical, emergency, employment, insurance, credit, housing, legal, immigration, education, or other decisions with legal or similarly significant effects, without appropriate professional review and any required legal authority;
use the Services to track, profile, surveil, identify, or target any individual on the basis of identity, immigration status, religion, sexual orientation, political opinion, union membership, or other sensitive characteristic, or to infer such characteristics from voice, biometric, or behavioral signals;
use the Services in connection with weapons, critical infrastructure attacks, election interference, generation of child sexual abuse material, non-consensual intimate imagery, or other harms identified in widely accepted responsible-AI usage standards;
upload, transmit, or distribute malware, ransomware, harmful code, spam, phishing content, or unauthorized communications;
interfere with, disrupt, reverse engineer, decompile, disassemble, scrape, harvest, crawl, bypass, overload, probe, or compromise the Services or their underlying infrastructure, except to the extent expressly permitted by law that cannot be waived;
attempt to access accounts, data, systems, models, model weights, training data, API endpoints, or infrastructure without authorization;
use the Services, or any output from the Services, to train, develop, or improve competing AI models, products, or services, including by extracting or distilling model outputs, except with our prior written permission;
misrepresent any Vibes AI output as a medical diagnosis, clinical recommendation, official Vibes AI determination, or human-generated work without proper attribution;
violate third-party rights, including intellectual property, privacy, publicity, contractual, or platform-rule rights;
submit voice, health, location, or other sensitive information about another person without lawful authority and consent;
use the Services in violation of US, EU, UK, or other applicable export-control or economic-sanctions laws, or while located in any country or region subject to comprehensive sanctions; or
use the Services in a manner that could harm Vibes AI, users, partners, research subjects, or third parties.

15. Third-Party Services and Integrations
The Services may link to, integrate with, or depend on third-party services, including Apple Health, Samsung Health, Health Connect, wearable platforms, AI-native device makers, Apple App Store, Google Play, payment processors, analytics providers, cloud infrastructure providers, communications tools, research systems, and identity providers. Vibes AI does not control third-party services and is not responsible for their content, availability, security, accuracy, or privacy practices.

Your use of third-party services may be governed by their own terms and privacy policies, and you are responsible for complying with those terms. Vibes AI may modify or discontinue integrations at any time.

16. Subscriptions, Fees, API Plans, and Purchases
Some features require payment, subscription, in-app purchase, or paid API plan. Pricing, billing cycles, free or paid trial terms, cancellation terms, taxes, refunds, and renewal details will be disclosed at purchase or through the applicable app store, payment provider, or API plan documentation. Unless otherwise required by law or stated at purchase, fees are non-refundable. If you purchase a subscription through an app store, your subscription, refunds, and cancellation may be handled by that app store under its policies.

Subscriptions and API plans may automatically renew at the then-current rate, unless cancelled before the renewal date, as permitted by applicable auto-renewal laws. Vibes AI will provide pre-renewal notices and cancellation methods to the extent required by law.

17. Communications and SMS
You may receive service, transactional, security, research, product, marketing, email, SMS, or push communications from Vibes AI. You consent to receive service and transactional communications necessary for your account or your use of the Services. Marketing communications will be sent only as permitted by applicable law and your communication preferences. You may opt out as described in the communication or in the Privacy Policy.

If you opt in to SMS, message and data rates may apply, message frequency varies, and you may opt out at any time by replying "STOP" to a marketing SMS or as otherwise instructed. Reply "HELP" for help. Vibes AI is not liable for delayed or undelivered messages.

18. Intellectual Property
The Services, including the MANTRA AI model, software, designs, interfaces, text, graphics, audio, sounds, music, voice prompts, models, algorithms, features, workflows, documentation, trademarks, service marks, trade dress, logos, API specifications, and other content (other than User Content), are owned by Vibes AI or its licensors and are protected by intellectual property and other laws.

Subject to your compliance with these Terms, Vibes AI grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use, unless Vibes AI authorizes other use in writing (for example, under an API Agreement).

No rights are granted to you except as expressly stated. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, extract, train on, or create competing products from the Services or any portion of them, except as permitted by law that cannot be waived or with the express written permission of Vibes AI.

19. Research, Publications, and Product Development
Vibes AI may use information and User Content as described in the Privacy Policy to conduct research, evaluate models, improve fairness and performance, develop new products, generate de-identified or aggregated insights, and publish or commercialize findings. Vibes AI will not identify you in a publication, commercial report, or public dataset without your consent, except where permitted by law.

Some research may be subject to additional consent forms, IRB or ethics review, collaborator agreements, or study-specific terms. Where study-specific terms apply, they govern that study to the extent they conflict with these Terms.

20. Beta and Experimental Features
Beta, preview, research, early access, and experimental features (including beta APIs and beta AI-native device experiences) are provided "as is" and "as available." They may be modified or discontinued at any time and may generate inaccurate, incomplete, or unexpected outputs. Do not rely on beta or experimental features for medical, safety-critical, legal, financial, or other high-impact decisions. You waive any reliance damages associated with beta or experimental features to the extent permitted by law.

21. Privacy
Our Privacy Policy, available at [insert URL], describes how we collect, use, disclose, retain, and protect personal information. By using the Services, you acknowledge the Privacy Policy and the practices described in it.

22. Suspension and Termination
You may stop using the Services at any time. You may also request account deletion as described in the Privacy Policy. Vibes AI may suspend, restrict, or terminate your access (including app, AI-native device, website, or API access) if Vibes AI reasonably believes you violated these Terms, created risk or legal exposure for Vibes AI or others, misused the Services, infringed rights, compromised security, or harmed Vibes AI, users, partners, or third parties. Vibes AI may also discontinue the Services, in whole or in part, at any time.

On termination, your right to access the Services ends. Provisions that by their nature should survive termination will survive, including Sections 9 (User Content and License Grant), 10 (Voice Contributions and Research), 12 (API Access; Developer and Business Use, including reverse engineering and competing-model restrictions), 13 (Feedback), 18 (Intellectual Property), 19 (Research, Publications, and Product Development), 23 (Disclaimers), 24 (Limitation of Liability), 25 (Indemnification), 26 (Dispute Resolution), 27 (Governing Law and Venue), and any provision regarding de-identified or derived data rights.

23. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, INCLUDING ALL CONTENT, OUTPUTS, INSIGHTS, RECOMMENDATIONS, AUDIO, AI-NATIVE DEVICE INTEGRATIONS, AND API FEATURES, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. VIBES AI, ITS LICENSORS, AND ITS SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, AND UNINTERRUPTED OPERATION.

VIBES AI DOES NOT WARRANT THAT THE SERVICES WILL BE ACCURATE, COMPLETE, RELIABLE, SECURE, ERROR-FREE, OR AVAILABLE, OR APPROPRIATE FOR YOUR NEEDS. VIBES AI DOES NOT WARRANT THAT ANY INSIGHT, SCORE, RECOMMENDATION, PREDICTION, MODEL OUTPUT, OR ALERT WILL BE CORRECT OR CLINICALLY VALID.

Some jurisdictions do not allow certain warranty disclaimers, so some of these disclaimers may not apply to you. To the extent any warranty cannot be disclaimed under applicable law, the duration and scope of such warranty are limited to the minimum required by law.

24. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIBES AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, ADVISORS, AFFILIATES, LICENSORS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOSS OF PROFITS; LOSS OF REVENUE; LOSS OF DATA; LOSS OF GOODWILL; SERVICE INTERRUPTION; PERSONAL INJURY OR DEATH (EXCEPT WHERE LIABILITY CANNOT BE EXCLUDED UNDER LAW); HEALTH-RELATED DECISIONS; RELIANCE ON OUTPUTS; OR THE COST OF SUBSTITUTE SERVICES, EVEN IF VIBES AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIBES AI'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO VIBES AI FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) U.S. $100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including any non-waivable consumer rights.

25. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Vibes AI and its officers, directors, employees, contractors, advisors, affiliates, licensors, and partners from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (i) your access to or use of the Services (including API access); (ii) your User Content; (iii) your violation of these Terms; (iv) your violation of any applicable law; (v) your infringement or misappropriation of any third-party right; or (vi) any misuse of any output of the Services.

26. Dispute Resolution; Binding Arbitration; Class Action Waiver (US Users)
Please contact us first at legal@getvibes.ai so we can try to resolve any dispute informally. You and Vibes AI agree to first attempt to resolve any dispute through informal good-faith negotiations for at least sixty (60) days before initiating arbitration or, where permitted, litigation.

For users located in the United States, and except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your relationship with Vibes AI ("Dispute") will be resolved by binding individual arbitration administered by AAA under its applicable consumer arbitration rules. You may bring an individual action in small-claims court if your claim qualifies.

YOU AND VIBES AI EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING, EXCEPT WHERE PROHIBITED BY APPLICABLE LAW. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

You may opt out of this arbitration agreement within thirty (30) days after first accepting these Terms by sending written notice to legal@getvibes.ai with your full name, account email, mailing address, and a clear statement that you opt out of arbitration. Opting out of arbitration will not affect any other provision of these Terms.

Nothing in this Section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for unauthorized use of the Services, intellectual property misuse, security violations, or misuse of confidential information.

For consumers located in the EU, UK, Switzerland, and other jurisdictions where mandatory local consumer protection rights and mandatory local dispute rights apply, those rights are not limited by these Terms. Disputes may be brought in the consumer's local courts to the extent required by law.

27. Governing Law and Venue
These Terms are governed by the laws of the State of [Delaware or New York], without regard to its conflict-of-laws principles, except where mandatory local consumer law requires otherwise. Subject to Section 26, the state and federal courts located in [New Castle County, Delaware, or New York County, New York] will have exclusive jurisdiction over any Disputes not subject to arbitration, except where applicable law provides otherwise.

28. Export Controls and Sanctions
You may not use, export, re-export, import, or transfer the Services (including by making the MANTRA API or AI-native devices available in restricted regions) except in compliance with US, EU, UK, and other applicable export-control and economic-sanctions laws. You represent that you are not located in, under the control of, or a national or resident of any country or region subject to comprehensive US sanctions, and that you are not on any US, EU, UK, or other applicable restricted-party list.

29. Changes to these Terms
Vibes AI may update these Terms from time to time. If we make material changes, we will provide notice as required by law, such as by updating the "Last Updated" date, posting a notice in the Services, sending an email, or providing an in-app notification. Your continued use of the Services after the updated Terms become effective constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

30. Miscellaneous
These Terms, together with the Privacy Policy and any feature-specific, API, or program-specific terms incorporated by reference, are the entire agreement between you and Vibes AI concerning the Services. They supersede any prior or contemporaneous agreements concerning the Services. If any provision is held unenforceable, the remaining provisions will remain in full force. Vibes AI's failure to enforce any right or provision is not a waiver of that right or provision. You may not assign or transfer these Terms without Vibes AI's prior written consent. Vibes AI may freely assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or similar transaction.
